1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Prime Quantum Ltd. ("Prime Quantum," "we," "us," or "our") governing your access to and use of the Trinity automated trading system ("Trinity"), including all software, documentation, updates, and related services (collectively, the "Services").

By accessing, installing, or using Trinity, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

Trinity is an automated trading system designed for MetaTrader 4 and MetaTrader 5 platforms. Trinity executes foreign exchange trades based on proprietary algorithms developed by Prime Quantum.

Important: Trinity is a tool that assists in trade execution. Prime Quantum does not manage accounts, execute trades on your behalf, or provide investment advice. All trading decisions and their outcomes remain your sole responsibility.

3. Eligibility

You represent and warrant that you:

  • Are at least 18 years of age or the age of legal majority in your jurisdiction
  • Have the legal capacity to enter into binding agreements
  • Are not prohibited from using the Services under applicable law
  • Have the experience and knowledge to understand the risks of forex trading
  • Are solely responsible for ensuring your use of Trinity complies with all applicable laws

4. Subscription and Payment

4.1 Subscription Plans

Trinity is available through monthly and annual subscription plans. The features and limitations of each plan are described on our pricing page at /pricing.

4.2 Billing

Subscriptions are billed in advance on a recurring basis. Monthly subscriptions renew monthly; annual subscriptions renew annually. All fees are non-refundable except as expressly stated in our Refund Policy.

4.3 Price Changes

Prime Quantum reserves the right to change subscription prices. Price changes will be communicated via email at least 30 days before taking effect. Price changes will apply to the next billing cycle.

4.4 Failed Payments

If a payment fails, we may suspend or terminate your access to Trinity until payment is received. We reserve the right to charge reasonable fees for failed payment recovery.

5. License and Restrictions

5.1 License Grant

Subject to these Terms and payment of applicable fees, Prime Quantum grants you a limited, non-exclusive, non-transferable, revocable license to use Trinity solely for your personal or commercial trading activities on your authorized trading accounts.

5.2 Restrictions

You shall not:

  • Copy, modify, distribute, sell, or lease any part of Trinity
  • Reverse engineer, disassemble, or decompile Trinity
  • Remove or alter any proprietary notices on Trinity
  • Use Trinity to trade in any account not authorized by you
  • Share your license key or account credentials with third parties
  • Use Trinity for any illegal or unauthorized purpose
  • Transfer, sublicense, or assign your rights under these Terms
  • Use Trinity in any manner that violates applicable law or regulation

5.3 License Limitations

Your subscription plan limits the number of trading terminals and accounts as specified at the time of purchase. Exceeding these limits constitutes a breach of these Terms.

6. Risk Acknowledgment

You acknowledge and agree that:

  • Forex trading involves substantial risk of loss
  • Past performance does not guarantee future results
  • Trinity does not guarantee profitability
  • Market conditions may cause Trinity to incur losses
  • You are solely responsible for all trading decisions and their outcomes

You further acknowledge that you have read and understood our Risk Disclaimer, which is incorporated by reference into these Terms.

7. Third-Party Services

7.1 Brokers

Trinity interfaces with third-party brokers through MetaTrader platforms. Prime Quantum is not affiliated with any broker and makes no representations about broker quality, reliability, or practices. You acknowledge that broker services are subject to separate terms and conditions.

7.2 Third-Party Components

Trinity may utilize third-party software libraries, including ONNX Runtime. Such components are subject to their respective license agreements.

8. Data and Privacy

Your use of Trinity is subject to our Privacy Policy, which describes how we collect, use, and protect your data.

9. Intellectual Property

All intellectual property rights in Trinity, including but not limited to software, algorithms, documentation, trademarks, and trade secrets, are owned by Prime Quantum or its licensors. These Terms do not grant you any ownership rights in Trinity.

10. Disclaimer of Warranties

TRINITY IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Prime Quantum disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that Trinity will be uninterrupted, error-free, secure, or free of viruses.

We do not warrant that the results obtained from Trinity will meet your expectations or that the quality of trading will be satisfactory.

11. Limitation of Liability

To the fullest extent permitted by law, Prime Quantum shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or trading gains
  • Loss of data or goodwill
  • Trading losses or account deficits
  • Cost of substitute services
  • Any damages arising from reliance on Trinity

In no event shall Prime Quantum's total liability exceed the amount you paid for Trinity in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Prime Quantum and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of Trinity
  • Your trading activities
  • Your violation of these Terms
  • Your violation of any applicable law or regulation

13. Termination

13.1 Termination by You

You may terminate your subscription at any time through your account settings or by contacting support. Termination takes effect at the end of your current billing period.

13.2 Termination by Us

We may suspend or terminate your access to Trinity if:

  • You breach these Terms
  • You fail to pay applicable fees
  • We discontinue the Services

13.3 Effect of Termination

Upon termination, your license to use Trinity immediately expires, you must remove all copies of Trinity from your systems, and we reserve the right to delete your data in accordance with our Privacy Policy.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email at least 30 days before they take effect. Your continued use of Trinity after changes take effect constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved exclusively in the courts of [Jurisdiction].

16. Dispute Resolution

Before initiating any formal dispute resolution, you agree to first contact us at support@trinity-fx.com to attempt to resolve any dispute informally. If we cannot resolve the dispute within 30 days, either party may proceed with formal resolution.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and Risk Disclaimer, constitute the entire agreement between you and Prime Quantum regarding Trinity and supersede all prior agreements, understandings, and communications.
